Judicial forum for disputes. Except as set forth in Section 15.6 (Arbitration), you and 001 uplook Professional Education agree that any and all claims relating to these Terms of Use or the Services may only be brought in the federal or state courts of Santa Clara County, California, subject to the mandatory arbitration provisions below. Both you and 001 uplook Professional Education expressly agree that the exclusive jurisdiction and venue for any claim or action arising out of or relating to the Terms of Use or your use of this Site or 001 uplook Professional Education Services shall be only the state or federal courts located in Santa Clara County, California, and you further agree and submit to the exercise of personal jurisdiction and venue of such courts for the purpose of litigating any such claim or action. Use of the Service is not authorized in any jurisdiction that does not give effect to all provisions of the Terms of Use, including without limitation, this section.

Notice of disputes. If you have a dispute with 001 uplook Professional Education, you will promptly send written notice to: 001 uplook Professional Education, 1968 S Coast Hwy Ste 5776, Laguna Beach, CA 92651.

Governing law. The Terms of Use and all claims, including procedural issues, between the parties are governed by the laws of California, excluding California’s conflict of laws rules.

Statute of Limitations. YOU AGREE THAT REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE, ANY SERVICE PROVIDED BY THE SITE, OR THE TERMS OF USE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED.

Informal resolution. Before filing a claim, you and 001 uplook Professional Education each agree to try to resolve the dispute by contacting the other party through the notice procedures in Section 15.2. (Notice of Disputes). If a dispute is not resolved within thirty days of notice, you and we may bring a formal proceeding.

Arbitration. You and 001 uplook Professional Education agree to resolve any and all claims relating to the Terms of Use or the Services through final and binding arbitration, except as set forth below. The American Arbitration Association (“AAA”) will administer the arbitration under its Commercial Arbitration Rules. The arbitration will be held in San Jose, California, or any other location both parties agree to in writing.

Exception to arbitration. Either party may bring a lawsuit in the federal or state courts of Santa Clara County, California solely for injunctive relief to stop unauthorized use or abuse of the Services or infringement of Intellectual Property Rights without first engaging in the informal dispute notice process described above.

NO CLASS ACTIONS. You may only resolve disputes related to or arising from the Services with the 001 uplook Professional Education on an individual basis and will not bring a claim in a class, consolidated, or representative action.

30-day opt-out period. If you do not wish to be bound by these arbitration provisions, including its waiver of class and representative claims, you must notify 001 uplook Professional Education by emailing service@uplook.io no later than 30 days after the first acceptance date of any version of the Terms of Use containing an arbitration provision, unless a longer period is required by applicable law. An opt-out notice does not revoke any previous arbitration agreement between us.

Future changes to this dispute resolution agreement. If 001 uplook Professional Education makes any changes to this Section 16 (or successor section and not including subsection titled “Notice of Disputed”), you may reject any such change by notifying us via the procedure set forth in Section 15.9 (30-day opt-out period) within 30 days of the change. It is not necessary to submit a rejection of a future change to this Section 15 if you have properly opted out of arbitration in compliance with the requirements of Section 15.9 (30-day opt-out period).
